Terms and Conditions

In order for you to be a mystery shopper for A Top Shop, LLC, you must accept all of the following terms and conditions:

This agreement is between You and A Top Shop, LLC. Upon completion and transmission of this Independent Contractor Agreement, and Evaluator/Shopper Profile Application, you will be entered in our database as an Independent Contractor (IC) only, with no employee status, to be called upon to perform on a periodic basis, mystery shops/evaluations of assigned projects. Your responsibility will be to complete assigned projects (shops) according to specifications and instructional guidelines you will have received with your assignment materials as well as over the telephone.

You agree that assigned shops will be completed within the time period indicated on the instructional material(s) that will accompany each shop assignment. A Top Shop, LLC. assumes no liability and will not be held liable for payment by an IC who presents back to A Top Shop, LLC, grossly late, inaccurate or incomplete work. Payment to IC for completed work will be within 30 days from date of postmarked, e-mailed, or faxed returned assignments. An A Top Shop, LLC, IC Invoice will be included with assignment materials and must be returned and completely filled out for payment to be mailed on time.

Based on your IC status, A Top Shop, LLC. will not deduct or withhold any taxes, FICA or other related employee type deductions. In accordance with Federal tax law A Top Shop, LLC will mail to IC, a completed tax form 1099, if IC fee income (not expenses) exceeds $600.00 during a calendar year.

IC agrees to hold harmless A Top Shop, LLC for any actions or activities arising from the scope of your involvement with A Top Shop, LLC

A Top Shop, LLC agrees to hold harmless IC for any actions taken or decisions made based on information presented from each shop / evaluation.

IC agrees to return all formats, manuals, software and hardware provided by A Top Shop, LLC to the IC, upon verbal or written notice by A Top Shop, LLC. IC agrees that all information whether verbal or written is of a proprietary nature and important to A Top Shop, LLC's competitive position. IC agrees not to discuss formats, processes or work performed on behalf of A Top Shop, LLC with other companies conducting services of a like nature.

If IC fails to complete a shop under the specific instructions and guidelines provided by A Top Shop, LLC and in the time frame and manner provided and accepted by the IC, the IC shall be responsible for the reimbursement to A Top Shop, LLC of any and all shopping fees and reimbursement fees that may be forfeited by A Top Shop, LLC due to the lack of performance on the part of the IC. IC will forfeit any right to payment or reimbursed expenses for an incomplete, inaccurate or fraudulent shop. A Top Shop, LLC shall be entitled to reasonable attorney fees, costs of collection and court costs incurred in efforts to enforce this agreement with IC for any reason whatsoever.

A completed IC agreement is required prior to assignment or payment for shopper services provided by you.
